ABEL — Terms and Conditions for Providers
Version 2.2 · October 2026
ABEL Solutions Ltd, a company registered in Malta (company number [to be inserted])
Registered office: [to be inserted]
getabel.app · info@getabel.app
These Provider Terms are to be read together with the Independent Contractor Agreement and Declaration, which is presented separately in the ABEL Partner app during onboarding and must be accepted before a Provider may accept work.
1. Introduction
1.1 These Provider Terms govern your use of the ABEL Partner application and your participation as an independent service provider on the ABEL Platform, which is operated by ABEL Solutions Ltd ("ABEL", "we", "us").
1.2 You accept these Provider Terms by ticking the acceptance box in the ABEL Partner app when you register. We keep a record of the version you accepted and the date and time of acceptance. Read them carefully — they set out a self-employed relationship, not employment.
1.3 If you register as a company or partnership rather than as an individual, references to "you" mean that entity, and you confirm that the individual accepting these Terms has authority to bind it.
1.4 Definitions. In these Provider Terms:
- "Customer" means a person who books Services through the ABEL app.
- "Platform" means the ABEL app, the ABEL Partner app and the website getabel.app, together with the systems behind them.
- "Services" means the home services offered through the Platform, such as cleaning, gardening, plumbing, handyman work and painting.
- "Booking" means a confirmed agreement for you to perform Services for a Customer at an agreed time and place.
- "Booking Total" means the full price of a Booking as shown to the Customer, including any options, add-ons and surge multiplier, before any Wallet Credit or promotional code is applied.
- "Customer Terms" means the ABEL Terms and Conditions for Customers, and "Cancellation Policy" means the ABEL Cancellation and Refund Policy, both available at getabel.app. They describe what the Customer has been promised.
1.5 Each Booking you accept creates a contract for the Services between you and the Customer. ABEL is not a party to that contract.
2. The Nature of Your Relationship With ABEL
This is the most important clause in this agreement.
2.1 You are an independent contractor operating your own business. You are not an employee, worker, agent, partner or joint venturer of ABEL, and nothing in these Provider Terms creates any such relationship.
2.2 You control how you work. You decide:
(a) whether to make yourself available at all, and for how long;
(b) which job requests to accept and which to decline, without needing to give a reason;
(c) the methods, techniques and sequence by which you perform the work;
(d) what tools, equipment, materials and vehicle you use, all of which you supply at your own cost;
(e) whether you work for other platforms, agencies or private clients at the same time — including direct competitors of ABEL.
2.3 There is no obligation on either side to offer or accept work. ABEL is not obliged to offer you any minimum volume of work, and you are not obliged to accept any job request. Declining a request carries no penalty.
2.4 You bear financial risk and stand to profit from your own efficiency. You are paid per job, not per hour worked. If a job takes longer than you estimated, you bear that cost. If you complete work efficiently, you may take more jobs and earn more.
2.5 You may send a substitute. You may arrange for another suitably qualified person to perform an accepted job in your place, provided that person has been separately verified and approved by ABEL in advance (approval will not be unreasonably refused), and provided you remain responsible to the Customer and to ABEL for the work performed. You remain liable for your substitute's acts and omissions, and for paying them.
2.6 You are responsible for your own:
(a) income tax, and VAT where you are or become liable to register;
(b) social security contributions;
(c) public liability and any other insurance;
(d) professional licences, certifications and permits;
(e) equipment, materials, tools, vehicle, fuel and consumables;
(f) any employees or subcontractors you engage, including their pay, tax and insurance;
(g) compliance with all laws applicable to your trade.
2.7 You receive no employment benefits from ABEL — no paid holiday, no sick pay, no pension contribution, no notice pay, no redundancy pay, and no minimum wage guarantee.
2.8 ABEL does not set your working hours, does not require you to wear a uniform, does not require exclusivity, and does not discipline you as an employer would. Suspension or removal from the Platform under clause 15 is the ending of a commercial relationship, not a disciplinary sanction.
2.9 You acknowledge that you have entered into this agreement as a self-employed business person, that you understand the difference between employment and self-employment, and that you have had the opportunity to take independent advice.
3. Eligibility and Registration
3.1 To register as a Provider you must:
(a) be at least 18 years old;
(b) have the legal right to work and to be self-employed in Malta (or in the country where you offer Services);
(c) hold every licence, certification and qualification required by law for the Services you offer;
(d) hold valid public liability insurance of at least €1,000,000;
(e) hold a valid Police Conduct Certificate (Kondotta), or equivalent, issued within the last 12 months;
(f) be registered as self-employed with the Commissioner for Revenue (or equivalent) and hold a tax registration number;
(g) pass ABEL's identity and document verification; and
(h) accept these Provider Terms and the Independent Contractor Declaration.
3.2 ABEL may accept or reject any application at its discretion and is not obliged to give reasons.
3.3 You must notify ABEL immediately if any of the above ceases to be true — in particular if your insurance lapses, your Kondotta expires, your right to work changes, or you are convicted of any offence.
3.4 You must provide a fresh Kondotta and proof of current insurance at least every 12 months, or sooner on request. We may suspend your account until current documents are provided.
4. Verification
4.1 Before you may accept Bookings, ABEL will verify: your identity; your right to work; your insurance; your Kondotta; your professional certifications where applicable; your tax registration; and that your profile photograph is of you.
4.2 Verification is carried out by a member of our team and may take up to 5 business days.
4.3 ABEL may re-verify at any time and may request additional documentation. Failure to provide it may result in suspension.
4.4 ABEL processes your Police Conduct Certificate for the purpose of assessing your suitability to enter customers' homes, and retains a record of the outcome of that assessment. Our Privacy Policy explains how this data is handled and for how long.
5. Job Requests, Acceptance and Ranking
5.1 When a Customer makes a request, it is offered first to active Providers who offer that Service and whose service area covers the job, on the same island. If no Provider accepts within a short period set by ABEL (a few minutes), it is also offered to the other active Providers on that island who offer the Service, whatever their service area, showing how far away it is. Requests on the other island (Malta or Gozo) are only offered to Providers who have chosen to work there too. You are notified in the app of every request offered to you, including those outside your service area. Where a Customer asks for a particular Provider first (booking again, choosing a favourite Provider, or a regular booking), the request is offered to that Provider alone for up to 2 hours, or until 12 hours before the start if that is sooner; if that Provider declines or does not answer in that time, it is offered to other Providers as above.
5.2 A request stays open until a Provider accepts it or it expires. The first Provider to accept is allocated the job; the others are told it has been taken. A request expires 12 hours before the requested start (for a flexible request, the start of the Customer's earliest window) or, where that start was within 24 hours of the request, 1 hour before it; the Customer is then refunded. If a request is still open halfway to its expiry, you may be notified of it again. There is no time limit on you personally and no consequence for not responding.
5.3 You are free to decline any request. Declining is never a breach of these Terms and never results in a strike.
5.4 Once you accept a job you are contractually committed to the Customer to attend at the agreed time and perform the agreed Service. Where the Customer gave a flexible time window, you choose the start time when you accept: it must fall within the window and leave enough time to complete the job before the window ends. The time you choose becomes the agreed time and binds both you and the Customer; the Customer does not need to approve it. For such a job the Customer may cancel free of charge within 1 hour after you accept, provided you have not set off, and no fee is payable to you in that case.
5.5 For quote-based Services you may submit a price. If the Customer accepts your quote you are bound by that price, subject to the amendment process in clause 8.
5.6 How requests are ordered. ABEL does not rank Providers against each other: every eligible Provider receives the same request at the same time, except where a Customer has asked for a particular Provider first (clause 5.1). Within your list of open requests, the order is:
(a) requests where the Customer has asked for you first or chosen you specifically (Provider Lock-in, an ABEL Pro benefit);
(b) then requests from ABEL Pro members, then ABEL Plus members, then other Customers; and
(c) within each group, the newest request first.
Your rating, reliability, past declines and Founding Provider status do not affect which requests you see or their order. We do not accept payment from Providers to improve their position. We will give you at least 30 days' notice of any material change to how requests are allocated or ordered.
5.7 Regular bookings. A Customer may make a booking regular (every 1, 2 or 4 weeks). When a request is a visit of a regular booking, you may accept that visit only, or agree to be the Customer's regular Provider. If you agree, each later visit is booked with you automatically at the same time, without a new request, and is a job you have accepted under clause 5.4. You may stop being the regular Provider at any time in the app; visits already booked with you stay booked, and you must attend them or cancel under clause 10. If the Customer changes the day or time, the arrangement ends for later visits and you are told.
6. Performing the Services
6.1 You must perform Services:
(a) with reasonable care and skill, to the standard of a competent professional in your trade;
(b) in compliance with all applicable health, safety and environmental law;
(c) using your own equipment and materials, appropriate to the job; and
(d) in a manner that does not bring ABEL or the Customer into disrepute.
6.2 How you perform the work is your decision. ABEL specifies the outcome the Customer has booked, not the method by which you achieve it.
6.3 You must arrive at the agreed time. If you are delayed, you must notify the Customer through the app immediately. If you arrive more than 30 minutes after the agreed time without having notified the Customer, the Customer may cancel without charge and no fee is payable to you.
6.4 You must take "before" photographs through the app prior to starting, and "after" photographs on completion. These protect you as much as the Customer in the event of a dispute.
6.5 You must not perform work that you are not licensed, qualified or insured to perform.
6.6 If you believe a job is unsafe, misdescribed, or beyond your competence, you must stop and report it through the app rather than continue.
6.7 You are the supplier of the Services to the Customer. You are responsible for complying with the consumer protection law that applies to that supply, including performing the Services with reasonable care and skill and putting right defective work.
6.8 Quality assurance. ABEL may make test bookings, review photographs and monitor ratings in order to maintain the quality of the marketplace. This is quality assurance of the Platform, not supervision of your work.
7. ABEL's Commission
7.1 In consideration of access to the Platform, its customer base, payment processing and support, you agree to pay ABEL a commission on each completed Booking.
7.2 The standard commission is 15% of the Booking Total, excluding tips.
7.3 Founding Provider Programme. Providers accepted as Founding Providers pay 0% commission for 3 months from their first accepted Booking, after which the standard rate applies. Founding Provider status and the associated profile badge are permanent; the 0% rate is not.
7.4 Commission is deducted before payout.
7.5 We may change the commission rate on at least 30 days' written notice. If you do not accept a change, you may stop accepting Bookings and terminate under clause 15. Bookings accepted before the change takes effect are charged at the old rate.
7.6 No commission is taken on: tips; cancellation fees payable to you; or customer no-show fees.
8. Amendments to Bookings
8.1 If the job differs materially from its description, you may propose an amendment through the app before completing the work.
8.2 An amendment takes effect only if the Customer accepts it. You must not perform additional chargeable work before acceptance.
8.3 An amendment request expires if it is not accepted within 10 minutes, and the original Booking stands.
8.4 You must not request payment directly from the Customer for additional work. All charges go through the Platform.
9. Payment and Payouts
9.1 ABEL collects payment from the Customer as your agent for the purpose of collection only, and holds your earnings on your behalf pending payout.
9.2 Your earnings for a completed Booking are the Booking Total, plus any tip, less ABEL's commission.
9.3 To receive payouts you must complete Stripe Connect onboarding and maintain a valid connected bank account.
9.4 When you are paid. Your earnings for a Booking are transferred to your Stripe account automatically when you mark the job completed. Other amounts due to you, such as cancellation and no-show fees, are paid when you request them in the app; there is no minimum. If your Stripe account is not yet set up when a job completes, the amount is held and paid automatically once your account is ready. Transfers then reach your bank on Stripe's payout schedule. ABEL is not responsible for delays caused by Stripe or by your bank.
9.5 Earnings statements. ABEL will generate a statement for each Booking recording the Booking Total, the commission deducted and the net amount payable to you.
9.6 Set-off. ABEL may deduct from amounts owed to you: refunds issued to a Customer as a result of your acts or omissions; the goodwill credit paid to a Customer where you cancel without genuine reason (clause 10.2); any overpayment; and any amount you owe ABEL under clause 12. We will notify you of any deduction and the reason for it, and you may dispute it under clause 17.
9.7 If your balance is negative, you must repay the shortfall. We may recover it from future earnings.
10. Cancellation by You
10.1 You should not cancel an accepted Booking except in a genuine emergency, in the event of illness, or where the site is unsafe.
10.2 Cancelling without genuine reason records a warning strike, and ABEL may deduct from your earnings the €5 goodwill credit paid to the Customer under the Cancellation Policy.
10.3 Three strikes within a rolling 90-day period may result in suspension pending review. Strikes expire after 90 days.
10.4 Before any suspension for strikes, we will tell you the reason and give you a reasonable opportunity to respond.
11. Customer No-Shows and Unsafe Sites
11.1 If the Customer is not present and cannot be reached 10 minutes after the agreed start time, you may report a customer no-show through the app.
11.2 You must take a timestamped and location-stamped photograph as evidence before reporting.
11.3 On a confirmed no-show you receive 75% of the Booking Total, with no commission deducted.
11.4 If a site is unsafe, or the Customer's conduct makes it unreasonable to continue, you may leave and report it. We will investigate and may treat it as a customer no-show.
11.5 A false no-show report is a serious breach and may result in immediate suspension and termination.
12. Insurance, Liability and Indemnity
12.1 You must maintain public liability insurance of at least €1,000,000 at all times while active on the Platform, and provide proof on request.
12.2 If your insurance lapses, you must immediately make yourself unavailable on the Platform.
12.3 You are solely liable for any loss, damage or injury arising from the Services you perform, including damage to a Customer's property.
12.4 You indemnify ABEL against all claims, losses, damages, fines and reasonable costs (including legal costs) arising from:
(a) your performance or non-performance of any Service;
(b) any injury to any person, or damage to any property, caused by you, your employees or your substitutes;
(c) your breach of these Provider Terms;
(d) any claim that you are or were an employee or worker of ABEL, and any associated claim for holiday pay, sick pay, notice, redundancy, unpaid tax, social security or penalties;
(e) your failure to pay tax, VAT or social security properly due; and
(f) your breach of data protection law in respect of Customer data.
12.5 ABEL's total liability to you in any 12-month period is limited to the total commission ABEL received from you in that period.
12.6 Nothing in these Provider Terms limits liability for death or personal injury caused by negligence, or for fraud.
13. Confidentiality and Customer Data
13.1 You must keep confidential all non-public information about ABEL's business, including pricing, commission structures, customer lists and Platform functionality.
13.2 Customer personal data — names, addresses, contact details, access instructions and photographs of their property — may be used only for the purpose of performing the specific Booking to which it relates.
13.3 You must not: retain Customer data after the Booking is complete beyond what is necessary for your tax and insurance records; share it with any third party; use it for marketing; or add Customers to your own database for direct solicitation.
13.4 You must delete or securely destroy Customer data once it is no longer needed, other than the minimal records required by law.
13.5 In respect of the Customer personal data you receive, you act as an independent controller and are responsible for your own compliance with data protection law.
13.6 You must notify ABEL within 24 hours if you lose or improperly disclose Customer data.
13.7 These obligations survive termination.
13.8 Your access to data. Through the ABEL Partner app you have access to your own profile, your job history, the ratings and reviews you have received, your earnings ledger and your payout history. You have access to a Customer's personal data only for the Booking to which it relates, from acceptance until completion. After termination, you may request a copy of your own data under the Privacy Policy; ABEL retains Booking and financial records for the periods stated there.
14. Non-Circumvention
14.1 You must not solicit or accept work off-platform from a Customer introduced to you by ABEL, for 12 months after your last Booking with that Customer, where the purpose or effect is to avoid ABEL's commission.
14.2 This does not prevent you from working for a person who was already your client before ABEL introduced them, and it does not prevent a Customer from finding you independently.
14.3 Breach may result in termination and recovery of the commission that would otherwise have been payable.
15. Suspension and Termination
15.1 You may terminate at any time by ceasing to accept Bookings and closing your account in the app, or by emailing info@getabel.app. You must complete any Bookings already accepted. Outstanding earnings are paid within 14 days of termination.
15.2 ABEL may terminate these Provider Terms on at least 30 days' written notice, stating the reasons.
15.3 ABEL may suspend your account, or restrict your access to job requests, with immediate effect where:
(a) you materially breach these Provider Terms;
(b) your insurance, licence, Kondotta or right to work lapses;
(c) there is a credible allegation of theft, violence, harassment, discrimination or dishonesty;
(d) you accumulate three strikes within 90 days;
(e) your rating falls persistently below the Platform minimum;
(f) you provided false information on registration; or
(g) we are required to do so by law.
We will tell you the reasons in writing (by email or in the app) at the time of the suspension, or as soon as practicable afterwards.
15.4 ABEL may terminate without the 30-day notice period where: (a) we are required to do so by law or a regulatory obligation; (b) there is an imperative reason — in particular a credible allegation of theft, violence, harassment or dishonesty, or a risk to Customer safety; or (c) you have repeatedly breached these Provider Terms. We will give the reasons in writing.
15.5 Where we suspend on the basis of an allegation, we will investigate promptly, tell you the substance of the allegation, and give you a reasonable opportunity to respond before reaching a final decision — except where doing so would prejudice an investigation by the authorities.
15.6 On termination, your profile and future availability are removed from the Platform. Reviews and ratings you have already received remain on the Platform, in anonymised or attributed form, as part of the historical record.
15.7 Clauses 9.6, 9.7, 12, 13, 14, 16, 17 and 19 survive termination.
16. Intellectual Property
16.1 ABEL's name, logo, Platform and content are owned by or licensed to ABEL. You may not use the ABEL brand except as expressly permitted for the purpose of identifying yourself as an ABEL Provider.
16.2 Content you upload — your profile photograph, before and after job photographs and your business description — remains yours, but you grant ABEL a worldwide, non-exclusive, royalty-free licence to host, store, reproduce and display it on the Platform and in ABEL's marketing, for as long as it is relevant to the operation of the Platform. You may ask us at any time to stop using your content in marketing. You confirm that you have the right to grant this licence, and that any photograph you upload does not infringe anyone's rights or show identifiable third parties without their consent.
17. Disputes and Complaints
17.1 If you dispute a deduction, rating, strike, suspension or payout, contact info@getabel.app within 30 days.
17.2 We will investigate and respond within 10 working days, giving reasons.
17.3 Nothing in this clause prevents you from bringing court proceedings.
18. General
18.1 Force majeure. Neither party is liable for a failure caused by events beyond its reasonable control.
18.2 Severability. If any provision is unenforceable, the rest continues in force.
18.3 Entire agreement. These Provider Terms, the Independent Contractor Agreement and Declaration, and the Privacy Policy are the entire agreement between us.
18.4 Variation. We may vary these Provider Terms on at least 30 days' notice. Continuing to accept Bookings after a change takes effect means you accept it. Variations do not apply retroactively.
18.5 Assignment. You may not assign your rights under these Provider Terms. We may assign ours on notice to you.
18.6 Notices. By email to the address on your account, or in the app.
18.7 Language. These Provider Terms are provided in English.
18.8 Interpretation. Headings are for convenience only. "Including" means including without limitation. The singular includes the plural and vice versa.
19. Governing Law
These Provider Terms are governed by the laws of Malta. The courts of Malta have exclusive jurisdiction.
